TERMS OF SERVICE

These Terms of Service (“Terms”) govern your access to and use of allgod.co, any successor website, and related online services operated by The Livestyle Media LLC., doing business as ALL GOD (“ALL GOD,” “we,” “our,” or “us”), as well as your purchase of apparel, accessories, and other products offered by ALL GOD (“Products”).

By accessing our website, creating an account, placing an order, or otherwise using our services, you agree to these Terms.

If you do not agree to these Terms, you should not use our website or purchase Products through it.

Our Return & Refund Policy, Shipping & Delivery Policy, Privacy Policy, SMS/Mobile Messaging Terms, and any other policies expressly referenced herein are incorporated into these Terms.

PLEASE READ THE DISPUTE RESOLUTION SECTION CAREFULLY. EXCEPT FOR CERTAIN DISPUTES DESCRIBED BELOW, THESE TERMS REQUIRE MOST DISPUTES TO BE RESOLVED THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN A COURT OR JURY TRIAL AND LIMIT THE ABILITY TO PARTICIPATE IN CLASS OR REPRESENTATIVE ACTIONS.

1. ELIGIBILITY

You must be at least eighteen (18) years old or the age of legal majority where you live to enter into a binding agreement with ALL GOD.

If you are under the applicable age of majority, you may use our services only with the involvement and permission of a parent or legal guardian who agrees to these Terms.

2. PERSONAL USE & RESALE

Products purchased through ALL GOD are intended for personal use by you or the intended recipient.

Unless expressly authorized by ALL GOD in writing, you may not purchase Products for commercial resale or redistribution.

ALL GOD may establish purchase limits by Product, release, customer, household, account, payment method, billing address, shipping address, or other reasonable criteria.

We reserve the right to reject or cancel orders that we reasonably believe involve:

  • Unauthorized resale;
  • Bots or automated purchasing tools;
  • Circumvention of Product limits;
  • Fraudulent transactions;
  • Multiple accounts used to evade purchasing restrictions; or
  • Other activity inconsistent with these Terms.

3. ACCOUNTS

If you create an account with ALL GOD, you agree to provide accurate and current information and maintain the confidentiality of your login credentials.

You are responsible for activity occurring through your account to the extent permitted by law.

You agree to promptly notify ALL GOD if you know or reasonably suspect that your account has been accessed without authorization.

We may suspend or terminate accounts that we reasonably believe are being used fraudulently, unlawfully, abusively, or in violation of these Terms.

4. ELECTRONIC COMMUNICATIONS

By providing an email address, telephone number, or other contact information in connection with an order or account, you agree that ALL GOD may send communications reasonably necessary to provide the requested Products or services.

These may include:

  • Order confirmations;
  • Payment notifications;
  • Production updates;
  • Shipping and tracking information;
  • Customer-service communications;
  • Account notices; and
  • Security-related communications.

Marketing emails and text messages are governed by the separate consent provided when you opt into those communications.

Consent to receive marketing communications is not required as a condition of purchase except where otherwise permitted by law.

5. PRODUCT INFORMATION

ALL GOD makes reasonable efforts to accurately display and describe its Products.

However, photographs, colors, measurements, finishes, washes, textures, distressing, placement, and other Product characteristics may vary.

Actual Product colors may differ from those displayed on your device because of photography, lighting, screen calibration, device settings, materials, manufacturing processes, or other factors.

Certain ALL GOD pieces may incorporate washed, distressed, dyed, printed, embroidered, finished, or other processes that can result in natural variations between individual pieces. Such variations are not necessarily defects.

Sizing information is provided as a general reference. Fit may vary based on Product, silhouette, material, construction, and collection.

6. ORDERS

Order Placement

Submitting an order constitutes an offer to purchase the Products identified in the order.

An order confirmation acknowledges that we received your order but does not necessarily constitute final acceptance.

ALL GOD may reject, limit, delay, or cancel an order before shipment for legitimate reasons, including:

  • Product unavailability;
  • Pricing or listing errors;
  • Payment authorization problems;
  • Suspected fraud;
  • Violation of purchase limits;
  • Suspected unauthorized resale;
  • Production limitations; or
  • Technical or fulfillment errors.

If ALL GOD cancels an order after payment has been collected, we will refund the applicable amount.

Order Changes

Because certain ALL GOD pieces enter production, finishing, or preparation shortly after purchase, order modifications or cancellations may not be possible after those processes begin.

Customers should contact ALL GOD as soon as possible if an order needs to be changed.

We do not guarantee that changes can be made after an order is submitted.

7. PRICING, TAXES & PAYMENT

Prices displayed on allgod.co are subject to change without notice before an order is placed.

Applicable shipping charges and taxes will be displayed during checkout where required.

If a Product is mistakenly offered at an incorrect price, ALL GOD may cancel the affected order and refund the amount paid rather than honor the erroneous price.

You represent and warrant that:

  • You are authorized to use the payment method submitted;
  • Payment information provided is accurate; and
  • You authorize ALL GOD and its payment processors to charge the applicable order amount, taxes, shipping charges, and other disclosed charges.

Orders may be subject to payment authorization, fraud screening, or additional verification.

8. PRODUCTION, SHIPPING & DELIVERY

Certain ALL GOD pieces are produced, finished, and prepared specifically for each order.

Production timelines, shipping estimates, tracking, lost shipments, customs, address errors, damaged deliveries, and related matters are governed by the ALL GOD Shipping & Delivery Policy, which is incorporated into these Terms.

Production time and shipping time are separate.

Delivery dates communicated through our website, checkout, order confirmations, or tracking systems are estimates unless expressly guaranteed.

9. RETURNS, EXCHANGES & FINAL SALE

Returns, refunds, exchanges, damaged Products, Final Sale Products, and preorder cancellation rights are governed by the ALL GOD Return & Refund Policy, which is incorporated into these Terms.

Products clearly identified as FINAL SALE before purchase are not eligible for ordinary return, refund, or exchange except where required by law or where otherwise stated in our Return & Refund Policy.

Preorder or made-to-order Products may become Final Sale once production begins as described in the applicable Product listing and Return & Refund Policy.

10. LIMITED RELEASES, PREORDERS & PRODUCT AVAILABILITY

ALL GOD may release Products in limited quantities or for limited periods.

Adding an item to your cart does not reserve the Product unless expressly stated otherwise.

ALL GOD does not guarantee that:

  • A Product will remain available;
  • A sold-out Product will be restocked;
  • A particular color, size, or design will return;
  • A collection will be reproduced; or
  • Future Products will be offered at the same price.

Certain Products may be sold as preorders or before production has been completed.

Estimated production and shipping windows for those Products are estimates and may change due to manufacturing, quality-control, transportation, customs, or other circumstances.

11. PROMOTIONS & DISCOUNTS

ALL GOD may offer promotional codes, discounts, early access, giveaways, contests, loyalty benefits, or similar promotions.

Unless expressly stated otherwise:

  • Promotions cannot be combined;
  • Promotional codes have no cash value;
  • Promotions may be restricted by Product, collection, location, customer, or date;
  • Promotions may be subject to quantity limits;
  • Promotional offers may expire; and
  • ALL GOD may reject fraudulent or abusive use of a promotion.

Separate rules may apply to specific giveaways, sweepstakes, contests, or promotions.

Where those rules conflict with these Terms regarding the applicable promotion, the specific promotion rules control.

12. INTELLECTUAL PROPERTY

ALL GOD is a design-led fashion brand, and protection of our creative work is important to us.

The ALL GOD website and its contents—including without limitation:

  • Product and garment designs;
  • Graphics;
  • Artwork;
  • Prints;
  • Patterns;
  • Logos;
  • Typography;
  • Photographs;
  • Videos;
  • Campaign imagery;
  • Written copy;
  • Collection concepts and names;
  • Packaging designs;
  • Labels and hang tags;
  • Website design;
  • Graphics and layouts; and
  • Other creative materials

(collectively, “ALL GOD Content”) are owned by or licensed to ALL GOD and are protected by applicable copyright, trademark, trade dress, and other intellectual-property laws.

ALL GOD grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access the website and ALL GOD Content solely for your personal, non-commercial use.

Except where expressly authorized in writing, you may not:

  • Copy;
  • Reproduce;
  • Modify;
  • Republish;
  • Distribute;
  • Sell;
  • License;
  • Create derivative works from;
  • Commercially exploit;
  • Manufacture Products using;
  • Train commercial artificial-intelligence systems using; or
  • Otherwise commercially use

ALL GOD Content.

Nothing contained on our website transfers ownership of ALL GOD intellectual property to you.

13. TRADEMARKS & BRAND IDENTITY

The ALL GOD name, logos, marks, collection identifiers, graphics, slogans, packaging, trade dress, and other distinctive brand elements are trademarks, trade dress, or other intellectual property owned by or licensed to ALL GOD.

You may not copy, imitate, manufacture, advertise, sell, distribute, or otherwise use these elements in a manner likely to cause confusion regarding origin, affiliation, authorization, sponsorship, or endorsement.

ALL GOD reserves all rights and remedies relating to:

  • Counterfeit merchandise;
  • Unauthorized reproductions;
  • Infringing merchandise;
  • Unauthorized use of Product designs;
  • Trademark infringement;
  • Copyright infringement; and
  • Misappropriation of ALL GOD intellectual property.

14. USER CONTENT

If ALL GOD allows you to submit reviews, photographs, videos, testimonials, comments, or other content (“User Content”), you retain the rights you otherwise own in that content.

You represent that you have all rights necessary to provide the User Content and that it does not violate another person’s rights.

When you directly submit User Content to ALL GOD for publication, tag ALL GOD in circumstances reasonably indicating that you are inviting ALL GOD to share the content, or otherwise authorize us to use it, you grant ALL GOD a non-exclusive, worldwide, royalty-free license to reproduce, display, publish, adapt, and distribute that User Content in connection with ALL GOD’s website, social media, marketing, advertising, and business operations.

Where required by applicable law, ALL GOD may request additional authorization before using your name, image, likeness, or other protected attributes commercially.

15. PROHIBITED USE

You may not:

  • Violate applicable law through our website;
  • Commit or attempt fraud;
  • Infringe another person’s intellectual property;
  • Impersonate another person or entity;
  • Submit false payment or account information;
  • Scrape or systematically extract website content or data;
  • Use bots or automated systems to purchase limited Products without authorization;
  • Reverse engineer or attempt to discover underlying website code;
  • Introduce malware or harmful technology;
  • Circumvent security or purchase restrictions;
  • Interfere with website operation;
  • Use ALL GOD Content to falsely imply affiliation or endorsement; or
  • Use our website for unlawful or unauthorized purposes.

ALL GOD may restrict or terminate access where reasonably necessary to protect the business, customers, intellectual property, or integrity of the website.

16. THIRD-PARTY SERVICES

Our website and operations may rely on third-party providers for services including:

  • Ecommerce infrastructure;
  • Payments;
  • Production;
  • Fulfillment;
  • Shipping;
  • Analytics;
  • Advertising;
  • Email;
  • SMS; and
  • Social media.

Third-party websites, applications, and services may be governed by their own terms and privacy policies.

ALL GOD is not responsible for the independent conduct, availability, policies, security, or content of third parties except to the extent applicable law provides otherwise.

17. DISCLAIMERS

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE WEBSITE, ONLINE SERVICES, AND WEBSITE CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

ALL GOD DOES NOT WARRANT THAT THE WEBSITE WILL ALWAYS BE AVAILABLE, UNINTERRUPTED, SECURE, OR ERROR-FREE.

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL GOD DISCLAIMS IMPLIED WARRANTIES REGARDING THE WEBSITE AND SERVICES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, EXCEPT TO THE EXTENT SUCH WARRANTIES CANNOT LEGALLY BE DISCLAIMED.

NOTHING IN THESE TERMS LIMITS WARRANTIES OR CONSUMER RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

18. LIMITATION OF LIABILITY

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ALL GOD AND ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, SERVICE PROVIDERS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES OR LOST PROFITS ARISING FROM OR RELATING TO THE PRODUCTS, WEBSITE, OR SERVICES.

TO THE FULLEST EXTENT PERMITTED BY LAW, ALL GOD’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO A PRODUCT OR TRANSACTION WILL NOT EXCEED THE GREATER OF:

  • The amount actually paid by you for the Product or transaction giving rise to the claim; or
  • $100.

These limitations do not apply to fraud, intentional misconduct, gross negligence where liability cannot lawfully be limited, or other liability that applicable law prohibits us from excluding.

19. INDEMNIFICATION

To the fullest extent permitted by applicable law, you agree to indemnify, defend, and hold harmless ALL GOD and its owners, affiliates, officers, directors, managers, employees, contractors, agents, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys’ fees arising from:

  • Your material violation of these Terms;
  • Your unlawful or unauthorized use of our website;
  • Your User Content;
  • Your infringement of another person’s rights; or
  • Fraud, intentional misconduct, or unlawful conduct attributable to you.

ALL GOD may assume control of the defense of a matter subject to indemnification, and you agree to reasonably cooperate.

20. DISPUTE RESOLUTION — INFORMAL RESOLUTION

Before commencing arbitration or litigation, you and ALL GOD agree to attempt in good faith to resolve the dispute informally.

The person asserting a claim must provide written notice identifying:

  • Their full name and contact information;
  • The order or transaction involved, if applicable;
  • The nature and factual basis of the dispute; and
  • The specific relief requested.

The parties will have thirty (30) days after receipt of a complete notice to attempt resolution before commencing arbitration, except where immediate equitable relief is reasonably necessary.

21. BINDING INDIVIDUAL ARBITRATION

Except for the exceptions below, disputes that cannot be resolved through the informal-resolution process will be resolved through final and binding individual arbitration administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules.

The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement to the extent applicable.

Exceptions

Either party may pursue:

  • An eligible individual action in small claims court;
  • A claim primarily concerning infringement or misappropriation of intellectual-property rights; or
  • Emergency injunctive relief reasonably necessary to prevent actual or threatened misuse of intellectual property, confidential information, or computer systems,

without first resolving the underlying claim through arbitration where permitted by applicable law.

Individual Proceedings

YOU AND ALL GOD AGREE THAT CLAIMS SUBJECT TO ARBITRATION WILL BE RESOLVED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, COLLECTIVE, CONSOLIDATED, OR REPRESENTATIVE ARBITRATION, EXCEPT TO THE EXTENT APPLICABLE LAW OR THE GOVERNING AAA RULES REQUIRE OTHERWISE.

Jury Trial Waiver

TO THE EXTENT A CLAIM IS SUBJECT TO ARBITRATION, YOU AND ALL GOD WAIVE THE RIGHT TO HAVE THAT CLAIM DECIDED BY A JUDGE OR JURY IN COURT.

Arbitration Procedure

Arbitration will be conducted by a neutral arbitrator.

Proceedings may occur through written submissions, telephone, or video where permitted by the applicable AAA rules and circumstances.

The arbitrator may award any individual remedy available under applicable law.

A final arbitration award may be entered as a judgment in any court of competent jurisdiction.

Mass Arbitration

Where substantially similar individual arbitration claims are coordinated or filed in sufficient numbers to qualify under AAA’s applicable mass-arbitration procedures, the then-current AAA Mass Arbitration Supplementary Rules will apply.

Arbitration Opt-Out

You may opt out of this arbitration agreement by sending written notice to info@allgod.co within thirty (30) days after you first accept these Terms.

The notice must include:

  • Your full name;
  • Mailing address;
  • Email address; and
  • A clear statement that you are opting out of the arbitration provisions contained in ALL GOD’s Terms of Service.

Opting out of arbitration does not affect the remainder of these Terms.

22. TEXAS LAW & VENUE

Except to the extent governed by the Federal Arbitration Act or another controlling federal law, these Terms and disputes arising from them are governed by the laws of the State of Texas, without regard to conflict-of-law principles.

For disputes that are not required to be arbitrated and are not properly brought in small claims court, you and ALL GOD consent to exclusive jurisdiction and venue in the applicable state and federal courts located in Harris County, Texas, except where applicable consumer law requires otherwise.

23. MODIFICATION OF SERVICES & TERMS

ALL GOD may modify, suspend, discontinue, or restrict portions of its website, Products, collections, services, or features for legitimate business, operational, legal, security, or commercial reasons.

We may also update these Terms from time to time.

The “Last Updated” date identifies the latest revision.

Material changes will become effective as required by applicable law. Your continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms.

24. SEVERABILITY

If any provision of these Terms is determined to be unlawful, invalid, or unenforceable, that provision will be limited or severed to the minimum extent necessary.

The remaining Terms will continue in

force and effect.

25. ASSIGNMENT

You may not assign your rights or obligations under these Terms without ALL GOD’s prior written consent.

ALL GOD may assign or transfer these Terms in connection with a merger, acquisition, financing, corporate restructuring, sale of assets, change of control, or other lawful business transaction.

26. ENTIRE AGREEMENT

These Terms, together with the policies incorporated by reference, constitute the agreement between you and ALL GOD regarding your use of our website and purchase of Products.

Our failure to enforce a provision does not constitute a waiver of that provision.

Section headings are for convenience only.

The words “including” and “includes” mean “including without limitation.”

27. SURVIVAL

Provisions that by their nature should survive termination or expiration of these Terms will survive, including provisions concerning:

  • Payments and completed transactions;
  • Intellectual property;
  • Disclaimers;
  • Limitations of liability;
  • Indemnification;
  • Dispute resolution;
  • Governing law; and
  • Other accrued rights and obligations.
